Sales Agreement

This Sales Agreement ("Agreement") is entered into between Placestash Europe B.V. ("the Company") and you ("the Creator"). It governs the terms and conditions under which you will create, upload, and sell digital travel guides or other digital content ("Content") on the Placestash platform ("the Platform"). By submitting content to the Placestash app, you agree to the terms outlined in this Agreement.

1. INTRODUCTION

Placestash Europe B.V. is an online platform where travel creators can upload and sell digital travel guides. By entering into this Agreement, you, the Creator, agree to follow the terms and conditions established herein for the creation, sale, and distribution of your content on the Placestash app.

2. ELIGIBILITY AND RESPONSIBILITIES OF THE CREATOR

To be eligible to participate as a content creator, you must be at least 16 years old and have a verified account on the Placestash app. Once you are registered, you will be able to submit content for review and approval. The content you submit must meet the quality standards set by Placestash Europe B.V., ensuring that the information is accurate, helpful, and original. You are responsible for ensuring that your content does not infringe upon the intellectual property rights of any third party and complies with all applicable laws, including but not limited to copyright, privacy, and data protection laws.

You are also responsible for maintaining the accuracy and up-to-date nature of your content. Placestash Europe B.V. may, from time to time, review and remove any content that does not meet these standards or violates its content guidelines.

3. OWNERSHIP AND LICENSING

As the creator of the content, you retain full ownership of your intellectual property rights to the material you submit. However, by uploading your content to Placestash, you grant the Company a non-exclusive, worldwide, royalty-free license to display, distribute, and sell your content on the platform. This license remains in effect as long as your content is available on Placestash, or until you request the removal of the content, whichever occurs first.

You acknowledge that Placestash Europe B.V. may use your content for marketing, promotional purposes, or in connection with other services offered on the platform. You also agree that Placestash Europe B.V. has the right to modify or adapt your content for technical or promotional purposes, but such modifications will not infringe on the original intent or quality of the content you created.

4. REVENUE SHARING AND PAYMENTS

For each sale of your travel guide or content, Placestash Europe B.V. will share a portion of the revenue with you. The specific revenue split will be provided to you on your creator dashboard. Placestash Europe B.V. retains a percentage (mentioned on the website) of each sale to cover platform fees and transaction costs.

Payments to creators are processed on a timely basis. Payments will be made via the payment method you specify when setting up your account. The Company may deduct any applicable taxes or platform fees, including those charged by Google and Apple, before processing payments. You are responsible for ensuring that you meet all tax obligations related to your earnings. Payments will only be issued when your balance meets a minimum threshold, which will be outlined in your creator dashboard.

5. PRICING AND PROMOTIONS

As a creator, you have the flexibility to set the price for your content. However, Placestash Europe B.V. reserves the right to adjust pricing in certain situations, such as promotional campaigns or platform-wide sales events. Any promotional activities, discounts, or offers made by Placestash Europe B.V. will be communicated to you in advance.

Placestash Europe B.V. also reserves the right to run marketing campaigns that include discounts on content. When such promotions are launched, creators will be notified and will receive their fair share of the revenue generated through these sales, based on the agreed-upon revenue split.

6. WARRANTIES AND REPRESENTATIONS

By submitting content to the Placestash app, you warrant that the content is original, does not infringe on the rights of third parties, and is free from plagiarism. You also represent that all information in your travel guides is accurate, current, and complies with all applicable laws. Placestash Europe B.V. will not be held responsible for any inaccuracies, and you agree to update your content if changes occur that may affect its validity.

You also represent that you have the necessary rights to submit the content, including the use of any third-party materials like images or media. If any issues arise related to third-party rights or content ownership, you agree to handle and resolve such issues independently.

7. LIABILITY AND INDEMNIFICATION

You, as the Creator, are solely responsible for the content you create and upload to the Placestash app. In the event that a third party claims that your content infringes on their rights or violates any laws, you agree to indemnify and hold Placestash Europe B.V. harmless from any resulting claims, damages, or losses.

Placestash Europe B.V. will not be liable for any direct, indirect, or consequential damages arising from the use or misuse of your content. You agree to resolve any legal claims, including those arising from the sale or use of your content, independently.

8. TERMINATION

You may choose to deactivate your account or remove your content at any time by following the necessary steps in your Placestash account. Upon removal, your content will no longer be available for sale, though any previously purchased content will remain accessible to users who have purchased it.

Placestash Europe B.V. reserves the right to suspend or terminate your account if you breach any of the terms of this Agreement or engage in activities that violate Placestash’s policies. If your account is terminated, you will no longer be able to upload or sell new content, though you will still be entitled to receive payment for any sales of content made prior to termination.

9. DISPUTE RESOLUTION

In the event of a dispute arising from this Agreement, both you and Placestash Europe B.V. agree to attempt to resolve the issue through informal means. If an agreement cannot be reached, the dispute will be resolved through mediation or arbitration.

10. PRIVACY AND DATA USAGE

Placestash Europe B.V. collects and processes your personal data in accordance with its Privacy Policy. By entering into this Agreement, you consent to the collection, use, and sharing of your data as necessary to process payments, manage your account, and communicate with you.

Placestash Europe B.V. may also collect and analyze data on the performance of your content to improve the platform and for promotional purposes. This data will be anonymized and aggregated, ensuring that your personal information is not shared without your consent.

11. GENERAL PROVISIONS

This Agreement represents the entire understanding between you, the Creator, and Placestash Europe B.V., and supersedes any prior agreements or understandings. Placestash Europe B.V. reserves the right to amend this Agreement at any time, with changes communicated to you via email or in-app notifications. Your continued use of the platform after any changes are made will constitute your acceptance of those changes.
